DUBAI — NEOPAY has agreed to acquire a 65% controlling stake in noon payments, combining the UAE-based payments company’s merchant-acquiring infrastructure with noon payments’ e-commerce gateway and regional network. The transaction, announced Oct. 5, remains subject to customary closing conditions, including regulatory and antitrust approvals, and the parties did not disclose financial terms.

The two businesses operate at different points in the same transaction chain. NEOPAY provides acquiring and merchant-services infrastructure, while noon payments is tied to the noon e-commerce ecosystem and processes online payments across the United Arab Emirates, Saudi Arabia and Egypt. The combination is intended to give merchants a broader stack for accepting and managing payments rather than requiring separate infrastructure for marketplace activity and payments processing.

The deal is also a sign of how Gulf payments companies are consolidating around regional commerce platforms. Digital wallets and merchant acquirers can scale faster when they have access to an existing flow of marketplace transactions, but the integration challenge is substantial: local licensing, settlement practices and consumer-protection rules differ across the three markets, and the transaction cannot simply be treated as a software merger.

Until regulators approve the deal and the companies publish more detail on governance and product integration, the practical effect for noon merchants remains prospective. What is clear is the strategic intent: NEOPAY is buying control of an established e-commerce payments channel to expand its regional acquiring footprint, not merely adding another payment method to its own checkout.
